1. General Information

These Terms of Use govern your access to and use of the Kalasathi platform (“Platform”) and are read together with all referenced policies (including Privacy, Shipping, and Returns/Refund policies). By accessing or using the Platform, you agree to be bound by these Terms.

We may update these Terms at our discretion; continued use after updates constitutes acceptance. Please review them periodically for changes.

2. License to Use

You are granted a personal, limited, non-exclusive, non-transferable right to access and use the Platform, subject to compliance with these Terms and applicable law.

3. Account & Registration

• Keep your login credentials confidential; you are responsible for all activity under your account.
• Provide accurate, current information and update it as needed (e.g., email/phone changes may require OTP confirmation).
• We may suspend or terminate accounts for false information or policy violations.

4. Communications

By using the Platform, you consent to receive communications electronically (e.g., email, SMS, notifications). Such communications are deemed effective for all purposes.

5. Platform as a Marketplace (Facilitator Only)

• Kalasathi is a neutral intermediary facilitating transactions between Buyers and Sellers.
• Commercial terms—pricing, shipping, payment, warranties, returns—are set and fulfilled by Sellers.
• Your order is an offer to purchase; acceptance is by the Seller.
• Kalasathi does not own products, make product warranties, or guarantee Seller or Buyer performance.
• Exercise independent judgment and verify Seller credentials where appropriate.

6. GST Invoices & Business Purchases

• Where available, GST invoices are issued by the Seller and may require your entity name and GSTIN.
• Not all purchases qualify for GST invoices; eligibility is indicated on product pages (where applicable).
• Ensure billing/delivery addresses align to claim input tax credit. Kalasathi is not responsible for GSTIN accuracy or ITC denials.

7. Feedback & Reviews

Share fair, factual reviews based on first-hand experience. Misleading, defamatory, or fraudulent reviews are prohibited and may be removed.

8. Payments

• Payments are processed by third-party providers; delays or errors are outside Kalasathi’s control.
• Your relationship in each transaction is principal-to-principal with the Seller; Kalasathi is a facilitator.

9. Liability & Disclaimers

• Kalasathi is not liable for indirect, incidental, consequential, or punitive damages arising from Platform use.
• We are not responsible for delays, stock issues, or product non-conformity; remedies rest with the Seller per applicable policies.

10. Intellectual Property

All Platform content (designs, trademarks, logos, text, media) is owned by or licensed to Kalasathi. Do not copy, reproduce, or distribute without prior written consent.

11. Governing Law & Dispute Resolution

These Terms are governed by applicable Indian laws. Courts at Bhopal, Madhya Pradesh, India shall have exclusive jurisdiction, subject to any applicable dispute-resolution mechanisms.
