1. Introduction

These Terms of Use (Seller) form a binding agreement between you (“Seller”) and Kalasathi (“we,” “us,” “our”). By accessing or using the Kalasathi seller platform (“Platform”), you agree to these Terms and all policies incorporated by reference.

2. Applicability & Definitions

• Platform: Website and related services enabling Sellers to list, promote, and sell handmade products.
• Sellers: Artisans, weavers, NGOs, organizations, or individuals listing products on the Platform.
• Buyers: Users who purchase products listed on the Platform.
• Users: Collectively, Sellers and Buyers.
• Transaction: Sale agreement formed directly between a Seller and a Buyer via the Platform.

3. Access & License

• Access is limited, revocable, non-exclusive, and non-transferable.
• Sellers may create an account and use authorized features.
• We may suspend or restrict access for operational reasons without prior notice.

4. Seller Eligibility & Account Responsibility

• Sellers must be at least 18 years old and legally capable of entering into contracts.
• Information provided must be accurate and kept up to date.
• Sellers are responsible for keeping credentials confidential and for all activity under their account.

5. Product Listings & Obligations

• Sellers must have the legal right to list and sell all items and hold required licenses/permits.
• Listings must be accurate and clearly describe the product’s condition and nature.
• Misleading descriptions may entitle Buyers to refunds at the Seller’s expense.
• Inventory must be kept current; orders should be fulfilled promptly.
• Duplicate listings across categories are prohibited; non-compliant listings may be removed.

6. Prohibited Content and Conduct

• Illegal, defamatory, obscene, hateful, or rights-violating content is forbidden.
• No infringement, counterfeit, or stolen goods.
• No malware, viruses, or code that harms Platform functionality.
• No unauthorized access, scraping, hacking, or reverse engineering.
• No actions that overload or damage infrastructure.
• No harassment or defamation of Kalasathi or other Sellers.

7. Payment Processing

• Kalasathi provides an electronic payment facility to facilitate transactions between Sellers and Buyers.
• Kalasathi is not a bank and does not control or guarantee payment, delivery, or product performance.
• Sellers authorize Kalasathi to process payments on their behalf; disputes or failures remain the Seller’s responsibility.

8. Taxes and Compliance

• Sellers are responsible for all applicable taxes (including GST).
• Correct HSN codes and tax details must be provided; failure may lead to delisting.

9. Intellectual Property & Platform Content

• Sellers retain ownership of their content, granting Kalasathi a license to use it for sales, marketing, and service improvement.
• Platform content may be used for personal, non-commercial purposes, preserving all notices and acknowledgments.

10. Termination & Suspension

Kalasathi may suspend or terminate platform access for policy breaches or violations without notice or liability.

11. Disclaimers & Limitation of Liability

• Kalasathi acts as a facilitator and does not endorse or guarantee product quality.
• All warranties are disclaimed to the fullest extent permitted by law; liability is limited accordingly.

12. Amendments and Communication

• These Terms may be amended; changes are effective upon publication.
• Continued use constitutes acceptance; Sellers must review updates periodically.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Disputes will be resolved through good-faith negotiation and, if unresolved, by arbitration in accordance with applicable law.
